VibeLogic grants you a limited, non-exclusive, non-transferable, revocable license to access and use our website and SMS content for personal, non-commercial purposes. All content, trademarks, logos, and intellectual property displayed on our website or delivered through our SMS program remain the exclusive property of VibeLogic. VibeLogic does not warrant that our services will be uninterrupted, timely, secure, or error-free. VibeLogic does not guarantee the delivery of any SMS message, as delivery is dependent on mobile carrier networks and other factors beyond our control.
You agree to indemnify, defend, and hold harmless VibeLogic, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service, your misuse of our services or SMS program, your violation of any applicable law or regulation, or any content you submit or transmit through our services.
To the fullest extent permitted by the laws of the State of Michigan, in no event shall VibeLogic, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) our services or SMS program. VibeLogic's total aggregate liability for all claims arising under these terms shall not exceed fifty dollars ($50.00) or the total amount paid by you to VibeLogic in the twelve (12) months preceding the event giving rise to the claim, whichever is less. This limitation of liability applies regardless of the legal theory upon which the claim is based and even if VibeLogic has been advised of the possibility of such damages.
These Terms are governed by the laws of the State of MI, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of MI.
